These Terms of Service (“Terms”) govern your access to and use of the services provided by Client Launch LLC (“Client Launch,” “we,” “us,” or “our”), including our AI receptionist and related AI-powered solutions (collectively, the “Services”). By accessing or using the Services, creating an account, or otherwise interacting with us, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree, do not use the Services.These Terms form a binding legal agreement between you (or the entity you represent) and Client Launch LLC. You represent that you are at least 18 years old and have the authority to bind yourself or your entity to these Terms.
1. Description of Services
Client Launch provides AI-powered receptionist services, including voice and chat assistants that handle inbound calls, qualify leads, book appointments, and manage customer interactions 24/7. Services may include customization, integrations with calendars/CRMs (e.g., Google Calendar, GoHighLevel), emergency detection, payment collection, and performance reporting. All Services are provided on a subscription basis and are subject to availability and modifications at our discretion.
2. Account Registration and Use
To use the Services, you may need to create an account. You agree to provide accurate, complete, and current information and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.You may not use the Services for illegal purposes, to transmit harmful content (e.g., viruses, spam), or in violation of any laws, including telemarketing regulations like the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), CAN-SPAM Act, or international equivalents (e.g., GDPR, CASL). Prohibited uses include generating hateful, discriminatory, or fraudulent content; infringing intellectual property; or engaging in high-risk activities like unauthorized financial/medical advice.
3. Subscription and Payments
Our Services are offered under plans such as the Elite Plan ($1,900 one-time setup + $497/month), which includes voice/chat assistants, customizations, and integrations. Fees are non-refundable, billed monthly in advance via Stripe or similar, and auto-renew unless canceled. We may charge pay-as-you-go fees for excess usage (e.g., calls/SMS/emails at ~$10-15 per 1,000 units).You are responsible for all taxes, and late payments incur a 10% fee or $10 (whichever is greater). We may suspend or terminate Services for non-payment. No refunds for partial months or unused Services. Plans are month-to-month after setup; cancel with 30 days’ notice.
4. Marketing Communications Consent
By providing your phone number, email address, or other contact information to us (including through forms, sign-ups, or interactions with our AI Services), you expressly consent to receive marketing and promotional communications from Client Launch, including via automated calls, text messages (SMS/MMS), emails, and other electronic means. These may include updates on Services, offers, and tips tailored to your business.You represent that you have the authority to provide such consent and that the contact information belongs to you or individuals who have authorized you to share it. Standard message and data rates may apply.
To opt out, reply “STOP” to any text message, click “unsubscribe” in emails, or contact us at support@clientlaunch.com. Opting out does not affect transactional communications (e.g., billing notices). For customer support, reach us at [phone number] or support@clientlaunch.com. We comply with applicable laws, but you are responsible for obtaining similar consents from your own customers when using our Services for outreach.
5. User Content and Licenses
You retain ownership of any content you provide to us (“User Content”), such as business details, FAQs, services, pricing, images, voices, videos, or recordings used to customize the AI receptionist.
By submitting User Content, you grant Client Launch a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, distribute, display, and create derivative works from such content for providing, improving, and promoting the Services. This includes using anonymized data for AI training.
Specifically for testimonials, images, voices, and videos: If you provide or allow us to record/use images, voices, videos, or testimonials from you, your employees, or your clients (past or current), you grant us a perpetual, irrevocable, royalty-free license to use them for marketing purposes, including on our website, social media, ads, and promotional materials. You warrant that you have obtained all necessary consents and releases from individuals featured, and you indemnify us against any claims arising from such use.
Feedback you provide (e.g., suggestions) is non-confidential, and you grant us a perpetual license to use it without compensation.
6. Intellectual Property
We own all rights to the Services, including AI models, software, and underlying technology. You are granted a limited, non-transferable license to use the Services during your subscription. You may not reverse-engineer, copy, or resell the Services without our written consent.
7. Privacy and Data
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect data. You consent to our processing of data as described. For AI features, data may be shared with third-party providers (e.g., for voice synthesis); we ensure compliance with data protection laws.You are responsible for obtaining consents from your customers for data sharing and AI interactions. We are not liable for your compliance with laws like GDPR, CCPA, or HIPAA (unless a separate agreement is in place).
8. Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied (e.g., merchantability, fitness for a particular purpose, accuracy). AI outputs may be inaccurate, incomplete, or biased; you must review and validate them. We disclaim liability for AI-generated content, call handling errors, data loss, or third-party integrations. We do not guarantee uninterrupted access, profitability, or compliance with laws. Beta features are provided without support or warranties.
9. Limitation of Liability
To the fullest extent permitted by law, Client Launch shall not be liable for indirect, incidental, consequential, special, or punitive damages (e.g., lost profits, data loss), even if advised of the possibility. Our total liability is limited to the fees you paid us in the 3 months preceding the claim (or $100 for free trials/Services).
10. Indemnification
You agree to indemnify, defend, and hold harmless Client Launch, its officers, directors, employees, and affiliates from any claims, losses, or damages arising from your use of the Services, including breaches of these Terms, violations of law, user content issues, or customer disputes (e.g., from AI interactions or marketing communications).
11. Termination
We may suspend or terminate your access at any time, with or without notice, for violations, non-payment, or at our discretion. Upon termination, you must cease use; we may retain data for 90 days before deletion. No refunds for terminated accounts. Provisions like licenses, indemnification, and limitations survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflicts of law principles. Any disputes shall be resolved through binding arbitration under AAA Commercial Rules in Dallas, TX, on an individual basis (class action waiver). You agree to exclusive jurisdiction in Texas courts for non-arbitrable matters.
13. Changes to Terms
We may update these Terms at any time. Changes are effective upon posting; continued use constitutes acceptance. Check periodically for updates.
14. Miscellaneous
- Force Majeure: No liability for delays due to events beyond our control (e.g., natural disasters, cyber attacks).
- Assignment: We may assign these Terms; you may not without our consent.
- Entire Agreement: These Terms supersede prior agreements.
- Severability: Invalid provisions do not affect the rest.
